Companies should expect to see investors increasingly use their shareholder voting rights to challenge boards they consider to be behind the curve. This has already started with climate change and board diversity and will shift to workforce and other social topics.

Research into company risk reporting on workplace issues
I have undertaken and managed various research projects reviewing company reporting on social factors. Most recently this has included overseeing an analysis of the annual reports of FTSE AllShare constituents to determine the extent to which workforce factors are determined to be principal risks and, if so, what data is provided in relation to them.

I have looked in depth at stewardship and governance issues relating to merger and acquisition activity, including working with clients to engage around specific deals. I have undertaken unique research into investor policy and practice around M&A activity.
This has included:
Analysing shareholder voting turnout at PLCs during takeovers due to the use of equity derivatives by hedge funds
Reviewing asset manager and owner stewardship and voting policies in relation to M&A activity (current)
